Directors' Report
A statutory section required under the Companies Act. Key things disclosed:
- Dividend proposed
- Transfers to reserves
- Board appointments and resignations
- Compliance with regulations
- Conservation of energy and technology absorption
Corporate Governance Report
Required for top 1000 listed companies by market cap.
Key things to check
| Section | What to look for |
|---|---|
| Board composition | At least 1/3 independent directors? |
| Board meetings | How often did the board meet? At least 4 times/year |
| Director attendance | Any directors with < 50% attendance? |
| Audit committee | Chaired by an independent director? |
| Remuneration | Is MD/CEO pay reasonable vs company size? |
| Whistleblower policy | Does it exist? |
Excessive promoter compensation
Watch for this
If the MD (who is also the promoter) earns ₹50 Cr in salary + commission but the company's PAT is only ₹200 Cr, that's 25% of profits going to one person. Check the remuneration section.
Key takeaway
Good governance = board independence, transparency, and fair compensation. These sections tell you whether minority shareholders are protected.
