What are promoter holdings?
In India, most listed companies have a promoter group — the founding family or parent company that controls the business.
Promoter holding = % of shares owned by the promoter group.
| Holding | Signal |
|---|---|
| > 60% | High conviction, but low free float |
| 40–60% | Standard range |
| 20–40% | Low — check if promoter is selling |
| < 20% | Very low — is the promoter exiting? |
What is promoter pledging?
Pledging = promoter takes a loan using their shares as collateral.
Pledging is risky
If share price falls, the lender can sell the pledged shares → more selling → price falls further → forced liquidation. Vicious cycle!
Pledge % benchmarks
| Pledge % of promoter holding | Risk |
|---|---|
| 0% | No risk |
| 1–10% | Watch closely |
| 10–25% | Material risk |
| > 25% | High risk — avoid for beginners |
What to look for
- Promoter holding declining over 3-5 quarters — why are they selling?
- Pledge % increasing — the promoter needs cash. Why?
- Promoter buying in open market — positive signal (skin in the game)
Where to check
Announcements section → SAST (Substantial Acquisition) → Promoter holding changes (quarterly).
Key takeaway
Promoters should have significant, unpledged holdings. Falling or heavily pledged holdings are a warning.
